Malaysia Representative Office Setup

A Representative Office (RO) allows foreign corporations to establish an official presence in Malaysia to explore local and regional market prospects, cultivate trade relations, support export growth, and conduct research and development.

Permissible Activities

An approved RO serves strictly as a non-commercial hub for its parent entity and is permitted to conduct the following:

  • Market Intelligence & Feasibility Studies: Collect and analyse data on regional business and investment opportunities.

  • Operational Planning: Coordinate corporate initiatives across regional business units.

  • Supply Chain Sourcing: Identify suppliers for raw materials, industrial components, and finished goods.

  • Innovation & Development: Execute product research and development activities.

  • Regional Coordination: Function as an administrative nexus for regional affiliates, subsidiaries, and representatives.

  • Non-Revenue Operations: Undertake administrative functions that do not directly generate commercial revenue.

Prohibited Operations

To remain compliant, an RO must avoid all direct revenue-generating activities, including:

  • Engaging in commercial trade, import/export operations, or fee-based business services.

  • Leasing warehouse facilities (all logistics, storage, and transhipment must be managed via local partners).

  • Executing legally binding business contracts on behalf of the parent organisation.

  • Managing day-to-day operations for local branches or subsidiary companies.

Eligibility Criteria

  • Annual Operating Budget: Maintain a minimum local operational expenditure of RM 300,000 per year.

  • External Funding: Ensure 100% of funding originates from sources outside Malaysia.

Expatriate Staffing & Taxation

  • Quota Approval: Expatriate allocations are restricted to executive, managerial, and specialised technical roles based on operational necessity.

  • Internal Mobility: Candidates must be existing employees of the foreign parent organisation, its subsidiaries, or group affiliates.

  • Tax Considerations:

    1. RO expatriates are taxed under standard Malaysian personal income tax regulations.

    2. Regional Office (RE) personnel are taxed solely on income derived from days physically spent working within Malaysia.

Documentation Requirements for RO Registration & Work Permits

All foreign-language documents must be officially translated into English and verified as Certified True Copies (CTC) by a notary public or commissioner for oaths.

Corporate Documentation

  1. Formal application detailing operational objectives, economic benefits to Malaysia, projected cash flows, and staffing structure.
  2. Official Certificate of Incorporation for the parent entity.
  3. Comprehensive company profile, including recent annual reports and two years of audited financial statements (supplemented by marketing materials, contract copies, or corporate website links).
  4. Signed tenancy agreement for the local office premises in Malaysia.

Individual Expatriate Documentation

  1. Passport copy and recent passport-style photograph.
  2. Curriculum vitae (CV) and detailed job description outlining specific duties.
  3. Overview of the parent organisation’s products and services (1–2 pages).
  4. Certified copies of higher education certificates (alongside original-language copies).
  5. Proof of professional background, including past employment letters and references.
