Establishing a sole proprietorship or partnership through the Companies Commission of Malaysia (Suruhanjaya Syarikat Malaysia or SSM) is one of the fastest and most cost-effective ways to launch a business. This option is available exclusively to Malaysian citizens and Permanent Residents (PR) who are at least 18 years of age.
With streamlined digital and in-person registration options, your business can be legally established in as little as one hour.
| Entity Type | Ownership | Key Features |
| Sole Proprietorship | 1 Individual Owner | Simple setup, full control, lowest administrative overhead. |
| Partnership | 2 to 20 Partners | Shared resources and expertise; dynamic joint management. |
Before submitting your application, gather the necessary documents and prepare the required registration fees:
Identification: Clear photocopy of your MyKad (Identity Card). For partnerships, include copies for all partners.
Regulatory Approvals: Copies of relevant licenses, permits, or operational support letters if required by the Registrar of Business for your specific industry.
Core Information: Proposed business name, operational activity description, and official business address.
Official Registration Fee Structure
Personal Name Registration (Sole Proprietorship): RM30
Trade Name Registration: RM60
Branch Locations: RM5 per branch
Business Information Printout: RM10
You can register your entity using either your legal name or a distinct trade name.
Option A: Using Your Legal Name
If your sole proprietorship operates strictly under the full legal name printed on your MyKad, name pre-approval is not required. You may proceed directly to application submission.
Option B: Using a Trade Name
If you prefer a unique business name, you must secure prior approval from the Registrar of Business:
Complete the Business Name Approval Form (Form PNA.42), listing up to three proposed names in order of preference.
Attach the approved name form to your main application submission.
Step 1: Complete the Application
Fill out the New Business Registration Form (Form A). Ensure the following details are complete and accurate:
Official business name and nature of operations
Commencement date
Principal place of business (and secondary branch locations, if applicable)
Full details of all owners or partners
Note: For partnerships, every designated partner must sign the completed Form A prior to submission.
Step 2: Submit Your Application
Submit your completed documentation through either of the following channels:
Online: via the official SSM e-Lodgement portal
In-Person: at any SSM counter branch
Step 3: Collect Your Certificate
Upon payment processing and application approval, your Business Registration Certificate will be ready for collection within approximately one hour.
Important Operational Note: A valid SSM registration establishes your legal entity, but you remain fully responsible for securing any local council licenses or sector-specific permits before commencing operations. Aseanz Corporate Services can assist in reviewing your specific licensing obligations.
While these business structures offer speed and affordability, founders should weigh the following structural risks:
Unlimited Personal Liability: Sole proprietors and partners are personally liable for all debts, losses, and legal obligations incurred by the business.
Mutual Agency Risk: In a partnership, legal actions or obligations entered into by one partner bind all other partners equally.
Business Continuity: A sole proprietorship automatically terminates upon the death or incapacity of the owner.
Operating an unregistered business in Malaysia is a criminal offense under the Registration of Businesses Act 1956 (ROBA 1956).
Failing to register your enterprise can result in:
Fines up to RM50,000
Imprisonment for a term up to 2 years
Or both penalties upon conviction
